Termos de Uso da TicketBird

Este é um contrato de licença de software entre TicketBird, Inc. (“TicketBird”) e o Organizador. Não se aplica a compradores de ingressos. Ao usar o Serviço, você aceita estes Termos.

1) Definições

Serviço: software fornecido em modelo SaaS para criação e gestão de páginas, fluxos e dados do evento.

Organizador: pessoa jurídica que utiliza o Serviço em atividade empresarial.

PSP: provedor de pagamento contratado diretamente pelo Organizador.

Integrações: conectores com serviços de terceiros (pagamentos, e-mail, CRM, etc.).

2) Natureza do Serviço (qualificação jurídica)

A TicketBird fornece software.

A TicketBird não opera marketplace, bilheteria, agência, intermediadora, gateway, subadquirente, carteira, escrow ou serviço financeiro.

White-label: o Serviço roda sob marca e canais do Organizador. O nome “TicketBird” não é apresentado ao comprador.

O evento não é publicado em domínio da TicketBird. O Organizador publica em seus domínios/canais, usando protocolos abertos (APIs, webhooks, embeds) e encurtadores de URL à sua escolha.

A TicketBird não recebe comissão sobre vendas. Somente taxas de assinatura/uso do software.

3) Relação B2B e ausência de cadeia

O Organizador é o Merchant of Record.

Todas as ofertas, vendas, políticas e obrigações perante compradores são do Organizador.

Sem solidariedade: na máxima extensão legal, a TicketBird não integra a cadeia de fornecimento do evento e não responde solidariamente por obrigações do Organizador.

4) Pagamentos e fluxo de fundos

A TicketBird não vende ingressos, não processa pagamentos, não coleta, não detém e não repassa valores.

Transações ocorrem diretamente entre comprador e Organizador, via PSP do Organizador.

A TicketBird não armazena dados de cartão. Se houver, tokens e metadados são gerados e mantidos pelo PSP.

Chargebacks, fraudes, reembolsos e tributos são de responsabilidade do Organizador e/ou do seu PSP.

5) Publicação e conteúdo

O Organizador mantém informações do evento claras, atualizadas e verídicas.

Suporte a compradores, comunicações, reembolsos e atendimento são do Organizador.

Conteúdos ilegais ou que violem direitos são proibidos. O Organizador remove conteúdo após notificação conforme lei aplicável.

6) Integrações de terceiros

Integrações são fornecidas “como estão”. Regras, limites e falhas de terceiros são de responsabilidade desses terceiros e/ou do Organizador.

Requisitos de segurança (ex.: PCI DSS) são de responsabilidade do Organizador quando aplicáveis.

7) Privacidade e tratamento de dados

Para fins do GDPR, o Organizador é Controlador; a TicketBird é Operadora/Processadora segundo o DPA incorporado por referência.

Tratamos dados conforme instruções documentadas do Organizador e nossa Política de Privacidade.

O Organizador obtém bases legais e atende direitos dos titulares.

8) Propriedade intelectual e licença

A TicketBird detém direitos sobre software, código e marcas.

Concede-se ao Organizador licença não exclusiva, intransferível e revogável durante a vigência contratual e plano aplicável.

9) Suporte, disponibilidade e manutenções

O Serviço é fornecido “no estado em que se encontra” e “conforme disponível”.

Manutenções programadas terão aviso mínimo de 24h quando razoável; emergenciais podem ocorrer a qualquer tempo.

O Organizador mantém backups e aplica atualizações/patches.

10) Garantias

Na máxima extensão permitida por lei, a TicketBird rejeita todas as garantias, expressas, implícitas ou estatutárias, incluindo comercialidade, adequação a propósito específico e não violação.

11) Limitação de responsabilidade

A responsabilidade total da TicketBird por quaisquer reclamações não excede os valores pagos pelo Organizador à TicketBird nos 12 meses anteriores ao fato gerador, exceto fraude ou dolo.

A TicketBird não responde por danos indiretos, lucros cessantes, perdas de dados, perda de receita, danos punitivos ou consequenciais.

12) Indenização

O Organizador indeniza a TicketBird por perdas, custos e reclamações decorrentes de: uso do Serviço; eventos, conteúdos, vendas e políticas do Organizador; violação destes Termos; infração a direitos de terceiros.

13) Preços e impostos

O Organizador paga taxas de assinatura/uso conforme plano/ordem comercial, acrescidas de tributos aplicáveis. Inadimplência pode suspender o acesso.

14) Vigência, rescisão e suspensão

O Organizador pode encerrar a conta por aviso escrito.

A TicketBird pode suspender ou encerrar por violação destes Termos ou uso ilegal, com aviso prévio razoável quando cabível.

Cláusulas que, por natureza, sobrevivem ao término permanecem vigentes (incluindo 6, 8, 9, 10, 11, 16, 17).

15) Alterações

A TicketBird pode atualizar estes Termos com aviso prévio razoável. O uso continuado após a vigência implica aceitação.

16) Lei e foro

Leis do Estado de Delaware, EUA.

Foro competente: Delaware, salvo competência obrigatória diversa.

17) Ausência de terceiros beneficiários

Estes Termos não conferem direitos a terceiros. Compradores não são partes nem beneficiários.

18) Exportação e sanções

É vedado usar o Serviço em violação a leis de exportação/sanções dos EUA, UE ou outras aplicáveis.

19) Divisibilidade e prevalência

Se qualquer cláusula for inválida, o restante permanece vigente.

Em caso de conflito entre versões, prevalece a versão em Inglês destes Termos e do DPA.

TicketBird Terms of Use

This is a software license agreement between TicketBird, Inc. (“TicketBird”) and the Organizer. It does not apply to ticket buyers. By using the Service, you accept these Terms. If you do not agree, do not use the Service.

1) Definitions

Service: software provided as SaaS to create and manage event pages, flows, and attendee data.

Organizer: a business entity using the Service for commercial purposes.

PSP: payment service provider contracted directly by the Organizer.

Integrations: connectors to third-party services (e.g., payments, email, CRM, analytics).

2) Nature of the Service (legal qualification)

TicketBird provides software only.

TicketBird is not a marketplace, box office, agent, intermediary, gateway, sub-acquirer, wallet, escrow, or financial service.

White-label: pages and flows run under the Organizer’s brand and channels. TicketBird does not appear to buyers.

Events are not published on TicketBird domains. Organizer publishes on its own domains/channels using open protocols (APIs, webhooks, embeds) and may use URL shorteners at its discretion.

TicketBird earns no commission on sales. Fees due to TicketBird are subscription/usage fees only.

3) B2B relationship and no supply chain role

The Organizer is the Merchant of Record.

Offers, sales, policies, and obligations to buyers are the Organizer’s sole responsibility.

To the maximum extent permitted by law, TicketBird does not join the supply chain and is not jointly liable for Organizer obligations.

4) Payments and funds flow

TicketBird does not sell tickets, does not process payments, does not collect, hold, or remit buyer funds.

Transactions occur directly between buyer and Organizer through the Organizer’s PSP.

TicketBird does not store cardholder data. If any tokens/metadata exist, they are issued and stored by the PSP.

Chargebacks, fraud, refunds, taxes, and filings are the responsibility of the Organizer and/or its PSP.

5) Publishing, content, and communications

The Organizer keeps event information accurate and current on its own domains and channels.

Buyer support, communications, cancellations, and refunds are handled by the Organizer.

Illegal or infringing content is prohibited. Upon lawful notice, the Organizer must remove or disable such content.

6) Third-party integrations

Integrations are provided as-is. Limits, failures, and policies of third parties are their responsibility and/or the Organizer’s.

The Organizer is responsible for applicable security requirements (e.g., PCI DSS, if relevant to its chosen payment flow).

7) Privacy and data processing

For GDPR purposes, the Organizer is the Controller and TicketBird acts as Processor under the Data Processing Addendum (DPA) incorporated by reference.

TicketBird processes personal data only on documented instructions and per its Privacy Policy.

The Organizer ensures lawful basis, notices, and responses to data-subject requests.

8) IP and license

TicketBird owns all rights in the software, code, interfaces, and trademarks.

TicketBird grants a non-exclusive, non-transferable, revocable license for the subscription term and selected plan.

9) Support, availability, maintenance

The Service is provided “as is” and “as available.”

Scheduled maintenance will be announced with at least 24 hours’ notice when reasonable; emergency maintenance may occur at any time.

The Organizer maintains backups and promptly applies updates/patches.

10) Warranties

To the maximum extent permitted by law, TicketBird disclaims all warranties, express, implied, or statutory, including merchantability, fitness for a particular purpose, and non-infringement.

11) Limitation of liability

TicketBird’s total liability for claims arising out of these Terms will not exceed the fees paid by the Organizer to TicketBird in the 12 months preceding the event giving rise to the claim, except in cases of fraud or willful misconduct.

TicketBird is not liable for indirect, special, punitive, consequential, or lost-profit damages.

12) Indemnification

The Organizer will defend and indemnify TicketBird from losses and claims arising from: use of the Service; the Organizer’s events, content, and sales; breach of these Terms; or infringement of third-party rights.

13) Fees and taxes

The Organizer pays subscription/usage fees per the applicable order form, plus taxes. Non-payment may result in suspension.

14) Term, suspension, termination

The Organizer may terminate by written notice.

TicketBird may suspend or terminate for breach or unlawful use, with reasonable prior notice when appropriate.

Sections that by nature survive termination remain in effect (including 6, 8, 9, 10, 11, 16, 17).

15) Changes

TicketBird may update these Terms with reasonable prior notice. Continued use after the effective date constitutes acceptance.

16) Export controls and sanctions

Do not use the Service in violation of U.S., EU, or other applicable export and sanctions laws.

17) No third-party beneficiaries

These Terms confer no rights on third parties. Buyers are not parties or beneficiaries.

18) Independent contractors

Nothing creates a partnership, joint venture, agency, franchise, or employment relationship.

19) Governing law and venue

Laws of the State of Delaware, USA.

Courts in Delaware have jurisdiction, unless a non-waivable law requires a different forum.

20) Entire agreement, precedence, severability

These Terms, the Privacy Policy, the DPA, and the applicable order form constitute the entire agreement.

Order of precedence: (i) order form, (ii) DPA, (iii) these Terms, (iv) Privacy Policy.

If any provision is invalid, the remainder stays in force.

21) Notices and publicity

Legal notices: [Organizer to provide contact]; TicketBird: legal@ticketbird.com.

TicketBird will not use the Organizer’s name or marks publicly without prior consent, except as required by law.

Annex A — Acceptable Use Policy (AUP)

Use the Service only for lawful purposes.

No illegal, infringing, deceptive, defamatory, hateful, or violent content.

No malware, denial-of-service, or attempts to bypass security.

No collection or processing of payment data through the Service; payment data flows only through the Organizer’s PSP.

Respect third-party terms for all Integrations.

TicketBird may suspend access for AUP violations.

Annex B — Data Processing Addendum (DPA) — Summary

Roles: Organizer = Controller; TicketBird = Processor.

Scope: processing limited to provisioning, maintenance, support, logging, and security of the Service.

Instructions: TicketBird acts only on documented instructions from Organizer.

Confidentiality: personnel under confidentiality obligations.

Security: appropriate technical and organizational measures (see Annex C).

Subprocessors: TicketBird may engage subprocessors under written contracts with equivalent protections and will maintain an up-to-date list upon request. Organizer may object on reasonable grounds.

International transfers: where applicable, use of approved transfer mechanisms (e.g., SCCs) with supplementary measures.

Breach notice: without undue delay after becoming aware of a personal-data breach impacting the Organizer.

Assistance: reasonable assistance with data-subject requests, DPIAs, and incident handling.

Return/Deletion: upon termination, delete or return personal data, unless retention is required by law.

Audits: provide audit reports or responses to reasonable questionnaires; onsite audits subject to prior notice, scope limits, and cost allocation.

Liability: governed by the limitation in the main Terms.

Precedence: DPA controls in case of conflict with the Terms on data-protection matters.

Annex C — Security Overview (summary)

Architecture: multi-tenant SaaS with logical segregation.

Access control: least privilege, MFA for privileged access, audit logging.

Data: encryption in transit (TLS) and at rest; key management via industry-standard services.

Development: secure SDLC, code review, dependency scanning.

Monitoring: logging, alerting, vulnerability management, patching.

Backups/DR: periodic backups and restoration tests; documented recovery objectives.

Customer domains: Organizer controls DNS and TLS certificates for its domains; if ACME/automation is used, Organizer authorizes issuance and renewal.

Incident response: documented runbooks; post-incident review.

Annex D — Service Levels (optional; applies only if referenced in the order form)

Uptime target: [e.g., 99.9% monthly] excluding scheduled maintenance and force majeure.

Support hours: [e.g., business days, 9:00–18:00 local time of Organizer or agreed timezone].

Response targets: P1 within [2h], P2 within [4h], P3 within [1 business day].

Credits: service credits only, capped at a portion of monthly fees; no refunds; exclusive remedy.

Annex E — Domain, publishing, and links

Organizer publishes all buyer-facing pages on its own domains, subdomains, or channels.

Organizer is responsible for DNS, certificates, link management, and URL shorteners it elects to use.

Any branding, legal notices, and policies shown to buyers are supplied and maintained by the Organizer.
